TTM Technologies prices $500M in senior notes due 2034

TTM Technologies, Inc. (NASDAQ: TTMI) has priced $500 million in aggregate principal amount of 6.750% senior notes due 2034 in a private offering exempt from registration under the Securities Act of 1933, according to a company statement. The sale is expected to close on Sept. 24, 2026, subject to customary closing conditions.
The notes will be senior unsecured obligations of TTM and will be guaranteed by subsidiaries that guarantee its senior secured credit facilities, including its term loan B due 2030 and its revolving credit facility.
TTM said it intends to use net proceeds from the offering, along with expected borrowings from a $300 million incremental senior secured term loan A and an $800 million incremental senior secured term loan B, to fund the purchase price for its previously announced proposed acquisition of EDS Intermediate Holding, LLC, which operates as Epiq Solutions. Proceeds may also be used to reduce amounts borrowed under its revolving credit facility in connection with its previously announced proposed acquisition of Swiss Technology Group AG, as well as to pay related fees and expenses.
The offering is not conditioned on the completion of the Epiq Solutions acquisition, and that acquisition is not conditioned on the closing of the offering. If the Epiq Solutions acquisition is not completed by Nov. 15, 2026, with a possible automatic extension to May 15, 2027 under certain circumstances, or if TTM notifies the trustee that the acquisition will not occur, TTM would be required to redeem the notes at 100% of the principal amount plus accrued and unpaid interest.
The notes are being offered only to qualified institutional buyers under Rule 144A and to non-U.S. persons under Regulation S. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption.
