Nomad Foods prices €800M senior secured notes to refinance 2028 debt

Nomad Foods Limited (NYSE: NOMD) announced that its indirect, wholly-owned subsidiary, Nomad Foods Bondco Plc, has priced an offering of €800.0 million in aggregate principal amount of 5¼% Senior Secured Notes due 2033.
The company intends to use the gross proceeds to refinance in full its existing €800.0 million Senior Secured Notes due 2028, which would extend its next material long-term debt maturity to 2032.
In connection with the refinancing, Nomad Foods expects to increase commitments under its revolving credit facility by €105.0 million, bringing the total available amount to €280.0 million.
The Notes will be guaranteed and secured on a senior basis by the company and certain of its subsidiaries. The refinancing is expected to close on July 30, 2026, subject to customary closing conditions. The revolving credit facility increase is also expected to become effective on that date.
The company cautioned that no assurance can be given that the refinancing will be completed or that the facility increase will become effective.
Nomad Foods is headquartered in Woking, England, and operates frozen food brands including Birds Eye, Findus, and iglo across Europe.
