CleanSpark, Inc. Announces Proposed Private Offering of $1 Billion of Convertible Notes
November 10, 2025 4:01 PM ESTLAS VEGAS, Nov. 10, 2025 /PRNewswire/ -- CleanSpark, Inc. (Nasdaq: CLSK), America's Bitcoin Miner® ("CleanSpark" or the "Company"), today announced that it intends to offer, subject to market conditions and other factors, $1 billion aggregate principal amount of convertible senior notes due 2032 (the "Convertible Notes") to the initial purchasers for resale in a private offering to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act").
