Nebius Group announces private placement of $1 billion in aggregate principal amount of convertible notes

(Nebius Group or the Company; NASDAQ: NBIS), a leading AI infrastructure company, today announced that it has entered into definitive agreements for a private placement of senior unsecured convertible notes in an aggregate principal amount of $1 billion, in two tranches: $500,000,000 aggregate principal amount of 2.00% convertible notes due 2029 (the 2029 Notes), and $500,000,000 aggregate principal amount of 3.00% convertible notes due 2031 (the 2031 Notes and, together with the 2029 Notes, the Notes).
