March 3, 2021 6:41 AM ESTVICI Properties Inc. (NYSE: VICI) (VICI Properties or the Company) announced today it has entered into definitive agreements to acquire from Las Vegas Sands Corp. (NYSE: LVS) (LVS) all of the land and real estate assets associated with the Venetian Resort Las Vegas and the Sands Expo and Convention Center, located in Las Vegas, Nevada (collectively, the Venetian Resort), for $4.0 billion in cash, representing a 6.25% cap rate. March 3, 2021 6:41 AM ESTVICI Properties Inc. (NYSE: VICI) (VICI Properties or the Company), an experiential asset real estate investment trust, today announced it has commenced an underwritten public offering of 60,000,000 shares of its common stock, all of which will be offered on a forward basis through the forward purchasers or their respective affiliates in connection with the forward sale agreements described below. The underwriters of the offering also expect to be granted a 30-day option to purchase up to 9,000,000 additional shares of the Companys common stock.
