Twitter, Inc. Announces $1.25 Billion Convertible Notes Offering
March 1, 2021 7:00 AM ESTSAN FRANCISCO, March 1, 2021 /PRNewswire/ --Â Twitter, Inc. (NYSE: TWTR) today announced its intention to offer, subject to market conditions and other factors, $1.25 billion aggregate principal amount of convertible senior notes due in 2026 (the "notes") in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Act"). Twitter also expects to grant the initial purchasers of the notes a 13-day option to purchase up to an additional $187.5 million aggregate principal amount of the notes, to cover over-allotments, if any.
