Curaleaf urges Aurora Cannabis shareholders to accept its takeover bid

Curaleaf Holdings, Inc. (OTCQX: CURLF) has sent a letter directly to Aurora Cannabis Inc. shareholders urging them to tender their shares to its standing acquisition offer, which it says represents a 45% premium over Aurora's 30-day volume weighted average price as of August 10, 2026.

Under the offer, Aurora shareholders would receive 0.3463 Curaleaf shares plus $0.75 in cash per Aurora share, implying an offer price of $4.00 per share based on the unaffected date. Aurora shares had traded at $2.76 before the offer was announced.

Curaleaf Chairman and CEO Boris Jordan framed the letter as a direct appeal after Aurora's board declined to engage with the offer. "Aurora has refused. And so, we are putting the decision where it belongs: in your hands," Jordan wrote in the letter.

Curaleaf said a combined company would operate across 17 countries, with more than $1.5 billion in revenue and nearly $350 million in adjusted EBITDA for the 12 months ended June 30, 2026, along with at least $40 million in projected annual cost synergies.

The company noted that Aurora raised more than $400 million through equity issuances, including shares sold at $2.60 in July 2026, which it described as a 35% discount to its offer price. Curaleaf also cited Aurora's reported 14% decline in net revenue and 78% drop in adjusted EBITDA over the four quarters ended June 30, 2026, with operating cash flow turning negative.

Jordan is scheduled to host a live shareholder webcast on September 17 at 10:30 a.m. ET. The deadline to tender Aurora shares is December 1, 2026.

Curaleaf filed a Registration Statement on Form F-80 and a Tender Offer Statement on Schedule 14D-1F with the U.S. Securities and Exchange Commission in connection with the offer.
