Wynn Resorts prices $900M senior notes offering at 6.875%

Wynn Resorts, Limited (NASDAQ: WYNN) announced that its indirect wholly-owned subsidiaries, Wynn Resorts Finance, LLC and Wynn Resorts Capital Corp., have priced a private offering of $900 million in aggregate principal amount of 6.875% Senior Notes due 2035.
The offering is expected to close on or about September 22, 2026, subject to customary closing conditions.
Wynn Resorts Finance plans to contribute and/or lend the net proceeds, together with cash on hand, to its subsidiary Wynn Las Vegas, LLC. Those funds will be used to redeem in full the outstanding 5.250% Senior Notes due 2027 issued by Wynn Las Vegas, LLC and Wynn Las Vegas Capital Corp., and to pay fees and expenses related to the transaction.
The notes are being offered only to qualified institutional buyers under Rule 144A of the Securities Act of 1933, or outside the United States to certain persons under Regulation S. The notes have not been registered under the Securities Act or any state securities laws and may not be publicly offered or sold in the United States absent a registration exemption.
