Performance Food Group to shrink board to 10 directors in 2026

Performance Food Group Company (NYSE: PFGC) announced several board changes, including the election of Matthew C. Flanigan as Lead Independent Director following its 2026 Annual Meeting of Stockholders.
Flanigan, who currently chairs the board's Audit and Finance Committee, will succeed Manuel A. Fernandez, who has held the role since 2019. Four directors — Fernandez, William F. Dawson, Jr., Laura Flanagan, and Scott D. Ferguson — will not stand for reelection at the 2026 Annual Meeting.
Following the meeting, the board will decrease in size from 14 to 10 directors, eight of whom will be independent. In addition, George L. Holm, currently Executive Chair, will transition to Non-Executive Chair effective January 1, 2027.
Holm credited the departing directors for their contributions during periods of significant change at the company, including its initial public offering. Flanigan acknowledged Fernandez's more than seven years of service as Lead Independent Director.
