ICON plc plans private senior notes offering to refinance debt

ICON plc (NASDAQ: ICLR) announced that its wholly-owned subsidiary, ICON Investments Six Designated Activity Company, intends to offer one or more series of senior notes in a private placement with registration rights, subject to market and other conditions.
The notes will be guaranteed on a senior unsecured basis by ICON. The company said proceeds are intended to repay all outstanding borrowings under its bridge facility credit agreement, repay all outstanding term loans under its senior secured term loan facility, and redeem in full its outstanding 5.809% Senior Secured Notes due 2027.
Upon repayment of the bridge facility and existing term loans, collateral securing ICON's revolving credit facility and existing notes would be automatically released, along with subsidiary guarantees under the existing notes. The company noted there is no assurance the offering will close or that the debt repayments and collateral releases will occur.
The notes are being offered to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and to buyers outside the United States under Regulation S. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption.
ICON is headquartered in Dublin, Ireland, and employed approximately 40,200 people across 55 countries as of June 30, 2026.
