Context Therapeutics Inc. (NASDAQ: CNTX) received a written notice from the Nasdaq Listing Qualifications Department on July 29, 2026, stating the company is not in compliance with Nasdaq Listing Rule 5550(a)(2), known as the Minimum Bid Price Rule.
The notice was issued because the company's common stock failed to maintain a minimum closing bid price of $1.00 per share for 30 consecutive business days. The notification has no immediate effect on the listing or trading of the company's common stock.
Under Nasdaq Listing Rule 5810(c)(3)(A), Context Therapeutics has an initial 180-calendar-day period, until January 25, 2027, to regain compliance. Compliance can be achieved if the stock closes at or above $1.00 per share for a minimum of 10 consecutive business days within that period.
If the company does not regain compliance by that date, it may be eligible for an additional 180-day period, provided it meets applicable market value and listing standards and notifies Nasdaq of its intent to cure the deficiency. If compliance is not achieved within the allotted period, Nasdaq may move to delist the stock, at which point the company could appeal to a Nasdaq Hearings Panel.
The company stated it intends to monitor its closing bid price and evaluate options to regain compliance, though it offered no assurance that it would do so.
