20/20 BioLabs reaches standstill deal on Series E preferred stock

20/20 BioLabs, Inc. (Nasdaq: AIDX) announced it has entered into a standstill agreement with Streeterville Capital, LLC concerning the company's outstanding Series E Convertible Preferred Stock, effective July 16, 2026.
Under the agreement, Streeterville has agreed not to convert any shares of Series E Preferred Stock into common stock for a 120-day period, unless the common stock trades at a price at least 10% above the "Minimum Price" as defined under Nasdaq Rule 5635 on a given trading day.
The standstill will terminate immediately if a breach of the agreement occurs or if an Event of Default, as defined in the Certificate of Designation for the Series E Preferred Stock, takes place. Upon expiration or termination, Streeterville may resume converting shares in accordance with the original transaction documents.
The agreement temporarily limits potential dilution from preferred-to-common stock conversions while leaving all existing rights and obligations of both parties under related transaction documents intact.
20/20 BioLabs said it will file a Current Report on Form 8-K with the U.S. Securities and Exchange Commission with additional details regarding the agreement.
