Wishpond Technologies Ltd. (TSXV: WISH) entered into an asset purchase agreement to sell its Viral Loops referral marketing software platform to Emerge Commerce Ltd. for $2.3 million cash, the Vancouver-based marketing solutions provider announced.

The transaction calls for $2.1 million to be paid at closing, with the remaining $200,000 due one year later. Wishpond originally acquired Viral Loops in April 2022.

The company plans to use proceeds primarily to reduce debt under its senior credit facility, with remaining funds supporting working capital needs. Wishpond expects to reduce its outstanding line of credit balance by approximately $1.4 million upon closing.
