Swarmer, Inc. (NASDAQ: SWMR), an Austin, Texas-based drone autonomy software company, has signed a definitive agreement to acquire Ratel Robotics, a Ukrainian unmanned ground vehicle (UGV) manufacturer, for up to $224 million in a combination of cash and stock, contingent on earnout milestones being met.

The deal, described in a press release as Swarmer's first major acquisition under board chairman Erik Prince, remains subject to regulatory, legal, and shareholder approvals.
