Investing.com -- Silence Therapeutics shares leapt more than 125% in premarket trading Monday after the company announced it has entered into a definitive agreement to be acquired by Germany’s Merck KGaA in an all-cash transaction.

The deal values Silence at approximately $1.3 billion in equity value and $1.1 billion in enterprise value. Under the terms of the agreement, Silence shareholders will receive $20.00 in cash per American Depositary Share (ADS), with each ADS representing three ordinary shares.

The offer represents a 130% premium to Silence’s closing ADS price on Friday and an 82% premium to the 30-day volume-weighted average price of $10.99.

Merck KGaA, Darmstadt, Germany has agreed to acquire Silence Therapeutics plc (NASDAQ: SLN) in an all-cash transaction with an equity value of approximately $1.3 billion and an enterprise value of $1.1 billion, according to a press release from the companies.

Under the terms of the agreement, Silence shareholders will receive $20.00 per American Depositary Share, with each ADS representing three ordinary shares, or $6.6667 per ordinary share. The offer represents a 130% premium to Silence's closing ADS price on October 16, 2026, and an 82% premium to the 30-day volume-weighted average price of $10.99.

The transaction will be structured as a U.K.

The purchase price of $20 per American Depositary Share (ADS) in cash represents an 82% premium to Silence Therapeutics' 30-day volume-weighted average price of $10.99, as of the close of trading on October 16, 2026. Each ADS represents three ordinary shares, equating to $6.6667 per ordinary share.
