Sangoma Technologies Corporation (TSX: STC; NASDAQ: SANG) has agreed to be acquired by an affiliate of BRC Group Holdings, Inc. (NASDAQ: RILY) in a transaction valuing Sangoma at an enterprise value of approximately $204 million, according to a press release from the companies.

Under the terms of the agreement, Sangoma shareholders will receive $4.925 in cash and 0.04767 of a BRC share for each Sangoma share held. Based on BRC's 20-day volume-weighted average price on Nasdaq, the total consideration implies a value of $5.225 (C$7.40) per Sangoma share.
