NewHold Investment Corp. III (NASDAQ: NHIC) and newcleo Ltd. announced that newcleo filed a registration statement on Form F-4 with the U.S. Securities and Exchange Commission on July 6, 2026, in connection with a previously announced proposed business combination between the two companies.

The two companies entered into a business combination agreement on May 27, 2026. The transaction has been approved by the boards of directors of both NewHold and newcleo and is expected to close in the second half of 2026, subject to NewHold shareholder approval, the registration statement being declared effective by the SEC, and other customary closing conditions.

Newcleo, a nuclear energy company developing advanced modular reactors, has agreed to acquire Bonifait Pesage, a French manufacturer of nuclear-grade weighing equipment, according to a press release from the company.

Founded in 1954 and headquartered in southern France, Bonifait Pesage manufactures, installs, calibrates, and maintains precision weighing systems for nuclear applications. The company generated approximately €2.1 million in revenue in 2025. Since 2017, it has held certifications for the maintenance and verification of weighing systems used in ionizing-radiation environments.
