ExGen Resources completes acquisition of MTB Metals via arrangement

ExGen Resources Inc. (TSXV: EXG; OTC: BXXRF) completed its acquisition of MTB Metals Corp. (TSXV: MTB, OTCQB: MBYMF, Frankfurt: E8H) through a court-approved plan of arrangement under British Columbia's Business Corporations Act.

Under the arrangement terms, ExGen acquired all outstanding MTB common shares by issuing 0.286 ExGen shares for each MTB share. Following the transaction's completion, ExGen has 109,149,808 issued and outstanding shares.

MTB stock options and warrants were converted to ExGen securities using the same 0.286 exchange ratio, with exercise prices adjusted accordingly. The arrangement received approval from MTB securityholders at a December 11 meeting, and the Supreme Court of British
