THL Partners completes sale of AMI to Lattice Semiconductor

THL Partners has completed the sale of AMI, a firmware and platform management company, to Lattice Semiconductor (NASDAQ: LSCC), according to a press release from THL. As part of the transaction, THL will retain an equity ownership interest in Lattice Semiconductor.

THL made a majority investment in AMI in 2024 through THL Equity Fund IX and THL Automation Fund I. The private equity firm said it worked with AMI's management team during its ownership to develop the company's commercial strategy and expand relationships across the semiconductor and hyperscale cloud sectors.

Lattice Semiconductor (NASDAQ: LSCC) announced the completion of its acquisition of AMI, a platform firmware and infrastructure manageability company, according to a company statement.

The deal, first announced on May 4, 2026, brings together Lattice's FPGA products with AMI's firmware technology used by cloud and AI infrastructure providers. Lattice said the acquisition is expected to be accretive to gross margin, free cash flow, and earnings per share on a non-GAAP basis, and supports the company's stated goal of reaching $1 billion or greater in annual revenue run rate by the end of 2026.
