Hexagon completes sale of design unit to Cadence for €2.7bn

Hexagon AB announced it has completed the sale of its Design & Engineering business to Cadence Design Systems Inc. for approximately €2.7 billion in cash and Cadence stock.

The Swedish technology company received the full consideration at closing, including approximately 3.2 million shares of Cadence common stock representing about 30% of the total consideration based on volume-weighted average share price calculations. The remainder was paid in cash.

The transaction is expected to generate a gain of approximately €1.4 billion after accounting for taxes, transaction costs and currency impacts, according to the company's press release statement.

STOCKHOLM, Feb. 23, 2026 /PRNewswire/ -- Hexagon AB today announced the completion of the previously announced sale of its Design & Engineering business ("D&E") to Cadence Design Systems, Inc., for an aggregate purchase price of approximately 2.7bn EUR in cash and Cadence stock.

The transaction is consistent with Hexagon's ongoing portfolio strategy to create focused market-leading positions and channel investment into areas that bring greater synergies across its core precision measurement, positioning and robotics solutions portfolio including the associated software businesses.
