SEALSQ Corp. (Nasdaq: LAES) and its parent WISeKey International Holding Ltd. (Nasdaq: WKEY) announced the formation of Quantisimo Corp., a special purpose vehicle, which has signed a non-binding letter of intent with GigCapital8 Corp. (Nasdaq: GIW), a special purpose acquisition company, to pursue a business combination.

The proposed transaction would create a Nasdaq-listed quantum technology platform with an initial pre-money enterprise value of approximately $575 million, subject to customary closing conditions. The parties stated their intention to grow that valuation to $2 billion through acquisitions of up to five additional quantum technology companies. The transaction is expected to close in the
