Fort Technology acquires 50.1% stake in Logia USA for $125,000

Nexera Technologies Ltd (NASDAQ: NEXR, NEXRW) announced that its majority-owned subsidiary, Fort Technology Inc. (TSXV: FORT, NASDAQ: FRTT), has completed the acquisition of a 50.1% stake in Logia USA Inc., a company focused on fuel integrity solutions for data centers and other mission-critical facilities in the United States.

Nexera holds approximately 70.19% of Fort Technology's issued and outstanding common shares.

Fort acquired the 50.1% equity interest in Logia USA in exchange for 132,603 newly issued Fort common shares valued at approximately $125,000. Following the transaction, Logia USA's founder retains the remaining 49.9% of the company's outstanding common stock.

Fort Technology Inc. (Nasdaq: FRTT), a majority-owned subsidiary of Nexera Technologies Ltd. (Nasdaq: NEXR, NEXRW), reported revenue of $7.36 million for the six months ended June 30, 2026, a 49% increase from $4.92 million in the same period of 2025, according to a press release.

The revenue growth was driven primarily by volume, with units sold on the Amazon Marketplace rising approximately 56%. Growth was led by the United Kingdom, which saw a 41% increase, with additional expansion across European markets.

Gross profit rose 145% to $1.36 million from $0.56 million in the prior-year period. Gross margin expanded to 18.5% from 11.3%
