Edison Lithium plans $1.9M private placement at $0.07 per unit

Edison Lithium Corp. (TSXV: EDDY) (FSE: VV0) announced plans for a non-brokered private placement of up to 27,142,857 units at $0.07 per unit, seeking gross proceeds of up to approximately $1.9 million.

Each unit consists of one common share and one warrant. Each warrant entitles the holder to acquire one additional common share at $0.10 per share for 36 months from the date of issuance.

The company said it intends to use net proceeds for exploration activities and general working capital and corporate purposes.

Insiders may participate in the offering, which the company said would constitute a related party transaction under Multilateral Instrument

Edison Lithium Corp. (TSXV: EDDY) (OTC Pink: EDDYF) said its proposed acquisition of two Quebec gold properties remains pending final approval from the TSX Venture Exchange.

The company signed an option agreement with Globex Mining Enterprises Inc. on Feb. 27, 2026, to earn a 100% interest in the Joutel North-West gold property and the Gagné gold-copper property, both located in the Eeyou-Istchee James Bay region of Quebec, Canada. Globex retains a 3% Gross Metal Royalty on the properties. Edison also holds a right of first refusal to purchase all or any portion of that royalty from Globex on the same terms

Edison Lithium Corp. (TSXV: EDDY) (OTC Pink: EDDYF) said the TSX Venture Exchange has confirmed its geologist considers the technical report on two Quebec gold properties complete, marking a step toward finalizing a proposed acquisition from Globex Mining Enterprises Inc.

The technical report, titled "Technical Report on the Joutel North-West and Gagné Gold Property, Eeyou-Istchee James Bay, Quebec, Canada," carries an effective date of July 8, 2026, and was prepared by Steven Lauzier, P.Geo., in accordance with National Instrument 43-101 standards.
