Bluesky Digital Assets Corp. (CSE: BTC) (OTCQB: BTCWF) announced it entered into a binding letter of intent dated January 21, 2026, to acquire all outstanding common shares of ChessGold Inc.

The proposed transaction will be structured as a three-cornered amalgamation, share exchange, or plan of arrangement that will make ChessGold a wholly owned subsidiary of Bluesky. The company will issue 10 million Bluesky shares at a deemed price of $0.10 per share to ChessGold shareholders, who will hold approximately 11.84% of the resulting issuer upon completion.
