Brightstar Lottery prices €500M in senior secured notes due 2032

Brightstar Lottery PLC (NYSE: BRSL) has priced €500,000,000 in 4.875% Senior Secured Notes due 2032, according to a press release. The notes were priced at 99.360% of their nominal amount.

The notes will be guaranteed on a senior basis by certain of Brightstar's wholly-owned subsidiaries. The company has applied to list the notes on the Official List of Euronext Dublin and to have them admitted to trading on the Global Exchange Market of Euronext Dublin.

Settlement is expected to occur on September 17, 2026, subject to customary market and other closing conditions.

Brightstar Lottery PLC (NYSE: BRSL) announced on Sept. 8, 2026, a tender offer for all Regulation S interests in its outstanding €500 million in 2.375% Senior Secured Notes due 2028, alongside a benchmark offering of euro-denominated Senior Secured Notes due 2032.

The company is offering to purchase the existing notes at €990.00 per €1,000 in principal amount, plus accrued and unpaid interest. The tender deadline is set for 4:00 p.m. London time on Sept. 15, 2026, with a settlement date expected on Sept. 18, 2026.
