TECfusions to go public via SPAC deal valued at $4 billion

TECfusions, Inc., an AI-focused data center developer, has entered into a definitive business combination agreement with Apex Treasury Corp. (Nasdaq: APXT), a special purpose acquisition company, that would result in TECfusions becoming publicly traded on Nasdaq under the ticker symbol "TECF."

The transaction values TECfusions at a pre-money equity value of $4.0 billion and implies a pro forma enterprise value of approximately $4.2 billion, assuming no redemptions by existing Apex Treasury shareholders. Concurrent with the agreement, an institutional investor committed $35 million in a PIPE investment at $10.00 per share.
