On June 13, 2011, EMS Technologies (Nasdaq: ELMG) and Honeywell (NYSE: HON) entered into a definitive agreement whereby Honeywell will acquire EMS Technologies for $33 per share, or total consideration of $491 million, net of cash.
Closing is expected in Q311.
BofA Merrill Lynch is serving as financial advisor, and King & Spalding LLP and Kirkland & Ellis LLP are serving as legal counsel to EMS and its Board of Directors.
