Item 8.01. Other Events.
As previously disclosed, on September 22, 2025, Longeveron Inc. (the “Company”) received a notice from the Listing Qualifications Staff of The Nasdaq Stock Market (“Nasdaq”) advising that the Company was not in compliance with the $1.00 minimum bid price requirement for continued listing on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”) as a result of the closing bid price of the Company’s Class A common stock (“Common Stock”) having been below $1.00 for thirty consecutive business days. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company was granted an initial period of 180 calendar days from the notification date, or until March 23, 2026, to regain compliance with the Minimum Bid Price Requirement. Thereafter, on March 24, 2026, the Company received further written notice from Nasdaq granting an additional 180 days, or until September 21, 2026, to regain compliance with the Minimum Bid Price Requirement.
On September 11, 2026, the Company received written notification from Nasdaq indicating that the Company’s Common Stock had a closing price of $1.00 per share or greater for the last 10 consecutive business days, from August 27, 2026 until September 10, 2026, and that, as a result, the Company has regained compliance with the Minimum Bid Price Requirement and the matter is now closed.
