Parker-Hannifin completes $2.4B U.S. and €2.025B euro senior note offerings
Parker-Hannifin Corporation (NYSE: PH) completed two registered senior note offerings on September 14, 2026, raising $2.4 billion in U.S. dollar-denominated notes and €2.025 billion in euro-denominated notes.
The U.S. offering comprised four tranches: $525 million due 2028, $500 million due 2029, $750 million due 2031, and $625 million due 2033. The euro offering comprised three tranches: €700 million due 2030, €800 million due 2032, and €525 million due 2036.
The company stated it intends to use the net proceeds, along with cash on hand, to repay borrowings under a 364-day term loan agreement dated December 10, 2025, which was used to finance the acquisition of Filtration Group Corporation.
The notes are senior unsecured obligations ranking equally with the company's other senior unsecured debt and senior to its subordinated debt. They are subject to standard events of default, including missed payments, covenant breaches, and certain bankruptcy or insolvency events. In the event of certain change-of-control scenarios, Parker-Hannifin would be required to offer to repurchase the notes at 101% of principal, plus accrued interest.
The offerings were registered under the Securities Act of 1933 pursuant to Registration Statement No. 333-298527.
