Ellington Financial plans $100M senior unsecured notes offering
Ellington Financial Inc. (NYSE: EFC) announced plans to offer $100 million in aggregate principal amount of 7.375% senior unsecured notes due 2030, according to a press release from the company.
The notes will be issued through certain of the company's subsidiaries as additional notes under an existing indenture dated October 6, 2025, under which $400 million of notes with identical terms were previously issued. The new notes will be treated as a single class with the existing notes for all purposes under that indenture.
The new notes will be senior unsecured obligations, fully and unconditionally guaranteed by Ellington Financial. The company stated it intends to use the net proceeds for general corporate purposes, including repaying a portion of borrowings under outstanding repurchase agreements and funding additional asset purchases.
The notes have not been registered under the Securities Act of 1933 and will be offered only to qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S.
