Cellebrite plans to move corporate home to the United States
Cellebrite DI Ltd. (NASDAQ: CLBT) announced that its board of directors has authorized the company to pursue a corporate reorganization that would establish a new United States corporation as its ultimate parent company, replacing its current structure as an Israeli-domiciled entity.
The company said it anticipates completing the redomiciling by the first half of 2027, subject to shareholder and regulatory approvals. Cellebrite plans to file additional details with the U.S. Securities and Exchange Commission in the coming months, including information related to a special general meeting of shareholders.
Chief Executive Officer Shiv Ramji said the move is intended to position the company to grow within its largest geographic market and with large government customers outside the U.S. He also cited potential inclusion in key stock market indices as a factor. "Redomiciling will also increase Cellebrite's appeal across a broader investor pool through inclusion in key indices," Ramji said.
Cellebrite, headquartered in Tysons Corner, Va., and Petah Tikva, Israel, provides digital investigative and intelligence software used by law enforcement agencies, defense organizations, and enterprises. The company said more than 7,000 organizations globally use its software portfolio.
