DCM syndicates $160M credit facility, adds $25M acquisition feature

September 14, 2026 7:02 AM

DATA Communications Management Corp. (TSX: DCM, OTCQX: DCMDF) has entered into a Sixth Amended and Restated Credit Agreement with a syndicate of Canadian Schedule I banks, providing $160 million in committed credit facilities and a new uncommitted accordion feature of up to $25 million for future acquisitions.

The facility is led by Bank of Montreal as administrative agent and lead arranger, with National Bank of Canada, Royal Bank of Canada, and Bank of Nova Scotia joining as additional lenders. The credit facility matures July 8, 2029.

The committed credit amounts are unchanged from the company's fifth amended and restated credit agreement, which was established in July 2026 in connection with DCM's acquisition of Octacom Limited. The same financial covenants from that prior agreement apply to the amended facility.

The $25 million accordion feature is uncommitted and available for acquisitions and permitted investments, subject to lender consent.

"The successful syndication of our credit facility further strengthens our banking relationships and provides a strong foundation for our strategy of profitable growth," said Richard Kellam, President and Chief Executive Officer of DCM.

DCM is a Brampton, Ontario-based provider of print and digital solutions, serving more than 2,500 clients. The terms of the amended agreement will be filed under the company's profile on SEDAR+.
