September 10, 2026 4:35 PM

Conduent Incorporated (NASDAQ: CNDT) has reached an agreement in principle to settle consolidated litigation stemming from a cybersecurity incident that occurred in January 2025, according to a company statement.

Multiple lawsuits were filed in U.S. courts on behalf of individuals who received notification that their personal information may have been affected by the breach. The cases were substantially consolidated into a single action in the U.S. District Court for the District of New Jersey, under the matter In re: Conduent Business Services Data Breach Litigation.

The settlement in principle was reached in August 2026, and the parties disclosed the agreement in a joint status report filed with the court on September 10, 2026. Settlement paperwork has not been finalized, and the agreement has not yet received court approval. The company noted that the timing of final court approval cannot be predicted with certainty.

Conduent denied the plaintiffs' allegations and stated it believes it has strong defenses, but said it agreed to settle to avoid the costs and burdens of litigation. The company said it maintains cyber insurance and does not expect the settlement to have a material impact on its financial position, results of operations, or cash flows.
