CGI prices C$500 million senior unsecured notes offering in two series

CGI (TSX: GIB.A) (NYSE: GIB) has priced a private offering of C$500 million in senior unsecured notes, split equally between two series, according to a press release from the Montreal-based company.



The offering consists of C$250 million in 3.25-year notes carrying an interest rate of 4.195% per annum and C$250 million in 4.75-year notes at 4.484% per annum. The offering is expected to close on or about Sept. 14, 2026, subject to customary closing conditions.



Net proceeds are expected to total approximately C$497.3 million after agents' fees and estimated offering expenses. CGI said it intends to use the proceeds to repay existing debt and for general corporate purposes.



The notes are being offered on a private placement basis across Canadian provinces through a syndicate led by Scotia Capital Inc., Desjardins Securities Inc., BMO Nesbitt Burns Inc., CIBC World Markets Inc., National Bank Financial Inc., RBC Dominion Securities Inc., and TD Securities Inc.



The notes have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
