IQVIA prices $2 billion in senior notes due 2034

IQVIA Holdings Inc. (NYSE: IQV) announced that its wholly owned subsidiary, IQVIA Inc., has priced an offering of $2 billion in aggregate principal amount of senior notes due 2034.



The notes will carry an interest rate of 6.375% per annum, with interest paid semi-annually on March 15 and September 15 each year, beginning March 15, 2027. The notes are set to mature on March 15, 2034, unless repurchased or redeemed earlier. The issuance is expected to close on or about September 23, 2026, subject to customary closing conditions.



According to the company, proceeds from the offering will be used to redeem in full IQVIA Inc.'s existing 5.000% senior notes due 2026, repay a portion of outstanding borrowings under its revolving credit facility, and cover fees and expenses related to the offering.



The notes are being offered only to qualified institutional buyers in the United States under Rule 144A of the Securities Act of 1933 and to non-U.S. investors outside the United States under Regulation S. The notes have not been registered under the Securities Act and may not be publicly offered or sold in the United States without registration or an applicable exemption.
