VerifyMe seeks shareholder vote on merger and blockchain stock plan

VerifyMe, Inc. (NASDAQ: VRME) and Open World Ltd. have provided additional details about proposed charter amendments tied to their planned merger, including a proposal that would allow the combined company's equity to trade on Figure Technology Solutions' on-chain public equity network alongside its Nasdaq listing.

VerifyMe stockholders of record as of August 7, 2026, are eligible to vote on the proposals at the company's annual meeting, scheduled virtually for September 24, 2026, at 1:00 p.m. Eastern Time.

If shareholders approve the merger, the combined company is expected to operate as OpenWorld, Inc. and trade under the ticker symbol "OPNW," subject to Nasdaq approval. The companies expect to close the merger shortly after the annual meeting, pending satisfaction of remaining closing conditions.

A separate proposal, designated "Proposal No. 6: The Blockchain Common Stock Proposal," would authorize a new class of Blockchain Common Stock, enabling the combined company to make its existing common stock available in a blockchain-based form for trading on Figure's Open-chain Public Equity Network in the future. No Blockchain Common Stock would be issued at the time of the merger's closing, and existing VerifyMe stockholder shares would remain unchanged.

Any future issuance of Blockchain Common Stock would require additional action by the combined company's board of directors and compliance with applicable securities laws. The proposal is separate from shares being issued to OpenWorld securityholders as part of the merger transaction.

The proposed blockchain listing builds on a previously announced agreement between OpenWorld and Figure Technology Solutions, Inc. The charter amendments are conditioned upon the consummation of the merger.
