USA Compression Partners launches $600M senior notes offering
USA Compression Partners, LP (NYSE: USAC) announced plans to offer $600 million in aggregate principal amount of senior unsecured notes due 2035, according to a press release from the Dallas-based company.
The offering, conducted alongside its wholly owned subsidiary USA Compression Finance Corp., will be made through a private placement to eligible purchasers, subject to market and other conditions.
The company said it intends to use the net proceeds to repay outstanding borrowings under its credit agreement and to cover fees and expenses related to the offering.
The notes will be offered only to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and to non-U.S. persons outside the United States under Regulation S. The notes will not be registered under the Securities Act or listed on any securities exchange or automated quotation system.
