Kala Bio signs exclusive U.S. deal to distribute Virotek eye genetic tests
Kala Bio, Inc. (Nasdaq: KALA) and Virotek Inc. have finalized an exclusive distribution and reseller agreement under which Kala will serve as the sole U.S. distributor of Virotek's ophthalmology genomic testing and screening program, according to a press release from the companies.
The agreement, which took effect September 4, 2026, grants Kala the right to market, promote, distribute, and resell Virotek's ophthalmology genetic testing program across the United States for an initial one-year term. Continued exclusivity depends on Kala meeting agreed commercial milestones. The agreement follows a non-binding letter of intent announced September 1, 2026.
Under the terms, Virotek retains responsibility for the program's infrastructure, kit supply, specimen processing, and clinical reporting, and will provide training and materials to Kala's channel partners. The two companies have agreed to a profit-sharing structure that takes effect after Virotek recovers its program costs. Additional financial terms were not disclosed.
The agreement also includes a right of first refusal in favor of Kala for certain ophthalmology products and services Virotek may propose to sell or license to third parties. A framework was established allowing the companies to expand into additional areas, including oncology, preventive health, telehealth, and white-label distribution, by mutual agreement.
According to third-party market research cited in the release, the U.S. genetic testing market was valued at approximately $5.7 billion in 2025 and is projected to reach approximately $6.9 billion in 2026. Kala stated it has not established any revenue projections from the agreement.
"This agreement grants Kala exclusive U.S. rights to a commercially active genomic testing program in ophthalmology, a field in which Kala has operated for more than a decade," said Avi Minkowitz, Chief Executive Officer of Kala.
Dr. Saeid Babaei, Chairman and Chief Executive Officer of Virotek, said the partnership gives the ophthalmology program access to eye care practices, telehealth channels, and patients across the United States.
