Boeing secures $3B revolving credit facility, amends existing agreements

Boeing (NYSE: BA) entered into a $3.0 billion, 364-day revolving credit agreement on August 24, 2026, replacing a prior facility of the same size that was set to expire on the same date, according to a filing with securities regulators.

Citibank, N.A. and JPMorgan Chase Bank, N.A. served as joint lead arrangers and joint book managers for the new facility, which is scheduled to terminate on August 23, 2027. Boeing retains the option to convert outstanding borrowings into term loans or request a 364-day extension.

Under the agreement, Boeing will pay a commitment fee of between 0.125% and 0.300% per annum, depending on its credit rating. SOFR-based borrowings will bear interest at Term SOFR plus between 1.250% and 1.700% per annum, also tied to Boeing's credit rating.

The facility requires Boeing to maintain liquidity of at least $5.0 billion and limits consolidated debt to no more than 60% of total capital. Standard default provisions apply, including cross-default clauses and bankruptcy events.

Separately, Boeing amended two existing five-year revolving credit agreements. The 2024 Five-Year Credit Agreement, consisting of $4.0 billion in total commitments, was extended to May 15, 2030. The 2023 Five-Year Credit Agreement, with $3.0 billion in commitments, was extended to August 24, 2029. Both amended agreements now include the $5.0 billion minimum liquidity covenant.
