Scorpio Gold wins approval to list ADS on Nasdaq as SGLD
Scorpio Gold Corporation (TSXV: SGN, OTCQB: SRCRF, FSE: RY9) has received approval to list its American Depositary Shares (ADSs) on the Nasdaq Capital Market under the ticker symbol "SGLD," with trading expected to begin September 1, 2026.
Each ADS represents 20 common shares of the company. The Bank of New York Mellon will act as depositary for the ADS program. The company's common shares will continue to trade on the TSX Venture Exchange.
The ADS structure allowed Scorpio Gold to meet Nasdaq's initial listing requirements without a share consolidation, according to the company's statement. Concurrent with the Nasdaq listing, the company's TSXV trading symbol will change from "SGN" to "SGLD," effective at the open of trading on September 1, 2026. No action is required from existing shareholders in connection with the symbol change.
Chief Executive Officer Zayn Kalyan said in a statement: "Listing on Nasdaq is a defining milestone for Scorpio Gold. The United States is home to the deepest pool of capital in the world, and this listing places the Company squarely in front of that audience - without a share consolidation and without disrupting the capital structure our existing shareholders have supported."
Separately, the company announced it has extended a digital marketing agreement with Investor Insights Systems Inc. (IIS), a Vancouver-based firm. Under the extended arrangement, IIS will provide digital content creation, search engine marketing, pay-per-click advertising, and market awareness services for a three-month term beginning September 1, 2026. The total fee is US$100,000 plus applicable taxes, payable in cash. IIS holds 200,000 stock options in Scorpio Gold but is otherwise described as an arm's-length service provider.
Scorpio Gold holds a 100% interest in the Manhattan District in Nevada's Walker Lane Trend, encompassing approximately 4,780 hectares, including the Goldwedge Mine and four past-producing pits acquired from Kinross in 2021.
