Breeze Acquisition Corp. II gets Nasdaq notice for late 10-Q filings

Breeze Acquisition Corp. II (NASDAQ: BREZ) received a notice from Nasdaq on August 20, 2026, stating the company is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to its failure to file quarterly reports on Form 10-Q for the periods ended March 31, 2026, and June 30, 2026.



The notice does not have an immediate effect on the listing or trading of the company's securities on Nasdaq. The company has 30 calendar days, until September 21, 2026, to submit a plan to regain compliance.



If Nasdaq accepts the plan, the company may receive an exception of up to 180 calendar days from the initial delinquent filing's due date, or until December 28, 2026, to regain compliance. Any periodic filing that becomes due within that period must be filed no later than the end of the exception window.



If Nasdaq does not accept the plan, the company may appeal to a Nasdaq Hearings Panel. The company stated it intends to take the steps necessary to regain compliance as soon as practicable or submit a compliance plan within the required timeframe.



Breeze Acquisition Corp. II is a blank check company incorporated in the Cayman Islands formed for the purpose of completing a business combination with one or more businesses or entities.
