Gossamer Bio raises up to $250M in private placement for PAH drug
Gossamer Bio, Inc. (Nasdaq: GOSS) has entered into a securities purchase agreement for a private placement expected to generate up to approximately $250 million in gross proceeds, before placement agent fees and offering expenses, according to a company press release.
The financing consists of three components. An initial closing, expected around August 24, 2026, will provide approximately $25 million through the sale of pre-funded warrants at $0.1399 per warrant. A second closing, contingent on FDA acceptance of the company's seralutinib new drug application (NDA) for pulmonary arterial hypertension (PAH) occurring in 2026, would provide an additional approximately $125 million. Together, these two tranches represent $150 million in committed capital.
A third component consists of warrants exercisable upon FDA approval of seralutinib in PAH. If exercised in full at $0.187 per share, these FDA Approval Warrants would provide up to an additional approximately $100 million. The warrants expire 30 days after the company notifies investors of FDA approval, or five years from issuance, whichever comes first.
Participating investors include EcoR1 Capital, 683 Capital Partners, LP, RA Capital Management, Coastlands Capital, Samsara BioCapital and Rock Springs Capital, among others. Leerink Partners and Cantor are acting as joint placement agents.
Gossamer Bio stated it plans to use net proceeds to advance the clinical development and potential commercialization of seralutinib in PAH and pulmonary hypertension associated with interstitial lung disease (PH-ILD), as well as for general corporate purposes. The company said it expects proceeds from the initial and second closings, combined with existing cash resources, to fund operations into 2028.
The company plans to submit an NDA for seralutinib in September 2026. Prior to stockholder approval, warrants will be exercisable for shares of non-voting convertible preferred stock, which will automatically convert to common stock following that approval. Gossamer Bio said it will hold a special stockholder meeting following the initial closing to seek the necessary approvals under Nasdaq listing rules.
