LivePerson adjourns stockholder vote on SoundHound AI merger to Sept. 2
LivePerson (NASDAQ: LPSN) adjourned its Special Meeting of Stockholders on August 20, 2026, rescheduling it to September 2, 2026, at 10:00 a.m. Eastern Time, according to a company statement.
The meeting was adjourned because the company has not yet reached the required threshold of a majority of all outstanding shares voted, despite preliminary results showing that over 97% of votes cast to date are in favor of the proposed merger with SoundHound AI. The company said it is a few percentage points short of the required majority.
The adjourned meeting will be held virtually. Stockholders of record as of July 6, 2026, are eligible to vote. Previously submitted proxies remain valid.
SoundHound AI filed a registration statement on Form S-4 with the U.S. Securities and Exchange Commission, which includes a definitive proxy statement from LivePerson and a prospectus for SoundHound AI shares to be issued in the transaction. The proxy statement/prospectus was filed and mailed to LivePerson stockholders on or about July 9, 2026.
