Cellebrite names new CEO and cuts full-year ARR and revenue outlook
Cellebrite DI Ltd. (NASDAQ: CLBT) named Shiven Ramji as its chief executive officer, effective immediately, succeeding Thomas E. Hogan as part of a planned transition, the company said Aug. 13, 2026. Ramji, who joined Cellebrite as president of products and technology in May 2026, will also be appointed to the company's board of directors.
Hogan joined Cellebrite as executive chairman in August 2023, became interim CEO in January 2025, and was formally appointed CEO in August 2025.
Alongside the leadership change, Cellebrite reported its second-quarter 2026 financial results. Total annual recurring revenue (ARR) reached $507.8 million, up 21% year-over-year, though the company said ARR came in below its own expectations due to longer sales cycles and lower-than-anticipated expansion from Inseyets conversions. Revenue rose 16% year-over-year to $131.1 million. GAAP net income was $6.4 million, compared with $19.5 million in the same period a year earlier. Adjusted EBITDA was $31.8 million, representing a margin of 24.2%.
The company lowered its full-year 2026 ARR outlook to $550 million–$560 million, implying annual growth of 14%–16%, and reduced its revenue target to $555 million–$561 million, representing growth of 17%–18%. Cellebrite raised its full-year adjusted EBITDA target to $153 million–$159 million, with a margin of approximately 28%.
For the third quarter of 2026, the company expects ARR of $524 million–$528 million, revenue of $145 million–$148 million, and adjusted EBITDA of $42 million–$45 million.
CFO David Barter said the company has lowered its full-year ARR expectations while raising its adjusted EBITDA target, citing continued operating discipline alongside elongated sales cycles affecting near-term ARR growth.
