RiverNorth Opportunities Fund announces transferable rights offering
RiverNorth Opportunities Fund, Inc. (NYSE: RIV) has announced a transferable rights offering, authorized by its Board of Directors, allowing common stockholders to purchase additional shares of common stock.
Stockholders of record as of August 31, 2026 will receive one right for each share of common stock held. For every three rights held, a stockholder may purchase one new share. Fractional shares will not be issued, and the number of rights issued will be rounded up to the nearest whole number divisible by three.
The rights are expected to be listed on the New York Stock Exchange. Trading on a "When Issued" basis under the ticker RIV RTWI is set to begin August 28, 2026, with "Regular Way" trading under RIV RT beginning September 4, 2026.
The subscription price per share will be set at 90% of the reported net asset value or 95% of the market price per share, whichever is higher on the expiration date. Market price will be calculated as the average of the last reported sales price on the NYSE over the five trading days preceding the expiration date. The subscription period is set to expire September 23, 2026, unless extended by the Board.
Stockholders who fully exercise their rights in the primary subscription will be eligible to purchase shares not acquired by other stockholders through an over-subscription privilege.
The Fund reported approximately $324.7 million in net assets and 27.4 million shares of common stock outstanding as of July 31, 2026. The offering will be made pursuant to a shelf registration statement on file with the Securities and Exchange Commission. A final prospectus supplement has not been filed as of the date of the press release.
