Hub Group delays 10-Q filing, targets Sept. 14 restatement deadline

Hub Group, Inc. (Nasdaq: HUBG) filed a Notification of Late Filing on Form 12b-25 with the U.S. Securities and Exchange Commission, indicating it will miss the deadline for its Form 10-Q for the quarter ended June 30, 2026.

The delay stems from the company's previously disclosed inability to timely file its Form 10-K for the year ended December 31, 2025, which has cascaded into preparation delays for subsequent quarterly filings.

Hub Group said it is working to complete a restatement of financial statements covering fiscal years 2023 and 2024, as well as quarterly periods ended March 31, June 30, and September 30, 2025. The company set a target of September 14, 2026, to file its Form 10-K for fiscal year 2025, along with Forms 10-Q for the quarters ended March 31, 2026, and June 30, 2026.

In a first-half 2026 business update accompanying the filing announcement, the company said it observed balanced demand in its Intermodal and Transportation Solutions segments and continued pricing momentum during bid season. Those factors were offset by higher fuel, rail, and drayage costs. The Logistics segment saw new business onboarding in Final Mile, while Brokerage volumes reflected a focus on profitability improvement. Excess capacity weighed on productivity in Consolidation and Fulfillment operations.
