Hercules Metals incoming team to invest C$4.5M via private placement

Hercules Metals Corp. (TSXV: BIG) (OTCQB: BADEF) (FSE: C0X) announced plans for a non-brokered private placement through which its incoming management team will invest C$4.5 million in the company.



The seven members of the incoming team, formerly of Arizona Sonoran Copper Company Inc., will collectively subscribe for 7,258,066 common shares at C$0.62 per share, representing a roughly 5% premium to the closing price on the trading day before their appointments were announced on July 30, 2026.



The placement is expected to close on or about September 1, 2026, concurrent with the incoming team formally assuming their roles, subject to TSX Venture Exchange approval and customary closing conditions. No finder's fees will be payable. Shares issued will be subject to a statutory hold period of four months and one day from the closing date under Canadian securities laws.



Proceeds are intended to fund continued drilling at the Leviathan porphyry copper system in western Idaho, exploration of additional porphyry targets, geological and resource modeling, and general working capital.



Incoming President and CEO George Ogilvie stated: "Our team committed to investing C$4.5 million of personal capital because we believe strongly in the scale and quality of Leviathan and the broader opportunity at Hercules."



Hercules Metals is a mineral exploration company focused on its 100%-owned Hercules Project in western Idaho, where it discovered the Leviathan porphyry copper system in 2023.
