Nomad Foods closes €800M note offering to refinance 2028 debt
Nomad Foods Limited (NYSE: NOMD) announced that its indirect subsidiary, Nomad Foods Bondco Plc, has completed an offering of €800.0 million in 5¼% Senior Secured Notes due 2033.
The gross proceeds from the offering were used to refinance in full the subsidiary's existing €800.0 million in Senior Secured Notes that were due in 2028. The company said it expects the new notes to be guaranteed and secured on a senior basis by the company and certain subsidiaries within 60 business days.
Nomad Foods also announced that an increase of €105.0 million in commitments under its revolving credit facility has taken effect, bringing the total aggregate amount available under that facility to €280.0 million.
The notes were offered in the United States only to qualified institutional buyers under Rule 144A of the Securities Act of 1933, and to non-U.S. persons in offshore transactions under Regulation S. The notes have not been registered under U.S. securities laws.
