Entegris, Inc. (NASDAQ: ENTG) announced that Bertrand Loy, Executive Chair of the Board of Directors, will retire from his role and resign from the board effective July 31, 2026, upon the expiration of his Executive Chair Agreement.

According to the company's statement, Loy's departure is not the result of any disagreement with the company over its operations, policies, or practices. His outstanding equity awards and 2026 annual incentive opportunity will be handled per the terms of his existing Executive Chair Agreement, and no new compensatory arrangement has been made in connection with his retirement.

The board has appointed James F. Gentilcore, who currently serves as Lead Independent Director, to the role of Chair of the Board, also effective July 31, 2026.

Separately, the board appointed Robert A. Bruggeworth, president and chief executive officer of Qorvo, Inc., as a director of Entegris, effective August 3, 2026. Bruggeworth will fill the vacancy created by Loy's departure and will serve until the 2027 annual meeting. He has also been appointed to the Management Development and Compensation Committee. The board determined that Bruggeworth qualifies as an independent director under Nasdaq Listing Rule 5605(a)(2).
