Americore expands private placement to include Quebec investors
Americore Resources Corp. (TSXV: AMCO) has expanded its previously announced private placement to include investors in the Province of Quebec, according to a statement from the Vancouver-based company.
The offering, led by Canaccord Genuity Corp., seeks to raise a minimum of $1,000,000 and up to approximately $3,000,000 through the sale of between 2,702,703 and 8,108,108 units priced at $0.37 per unit. Each unit consists of one common share and one warrant, with each warrant exercisable at $0.50 per share for 36 months following the closing of the offering.
The Quebec portion of the offering will not commence until a French-language Form 45-106F19 has been filed and posted on SEDAR+ and the company's website. Units may also be offered in the United States to accredited investors under applicable exemptions from U.S. securities registration requirements.
Agents will receive a cash fee of 7.0% of gross proceeds, reduced to 3.5% for sales to purchasers on a president's list. Agents will also receive broker warrants equal to 7.0% of units issued, and corporate finance warrants equal to 2.0% of units issued, each exercisable at the offering price for 36 months.
Proceeds are intended for the advancement of the company's Trinity Silver Project in Nevada and for general working capital. The offering is expected to close on or about July 7, 2026, subject to regulatory approvals including that of the TSX Venture Exchange.
